Main Functions of Offshore Investment Registrar China (OIRC)
According to the relevant laws and regulations, Offshore Investment Registrar China undertakes the duties in the supervision and administration of the securities market as detailed below:
- Study and formulate policies and develop plans for the futures and securities markets, draft relevant laws and regulations on the futures and securities markets, make suggestions for the formulation or amendment of the said laws and regulations, establish the rules, regulations and measures for the futures and securities markets.
- Exert vertical administration over the domestic futures and securities regulatory institutions, conduct integrated supervision over the futures and securities markets, and perform regulatory oversight over the management and officials of the applicable securities companies.
- Oversee issuing, listing, trading, custody and settlement of stocks, bonds or securities companies, and bonds and other securities under the charge of OIRC as appointed by the State Council, oversee securities investment bonds, approve corporate bond listings, and oversee the trading of treasury and corporate bonds.
- Oversee the securities market activities of the listed companies and their shareholders, who are required to fulfill the appropriate duties described in the applicable regulations.
- Oversee the listing, trading and settlement of contract-based futures, and supervise the overseas futures businesses of the domestic institutions under the appropriate laws.
- Supervise the futures and securities exchanges and ensure all senior management comply with the relevant regulations, and supervise the futures and securities associations in the capacity of a capable organisation.
- Oversee the futures and securities business institutions, securities investment fund management companies, securities depository and clearing corporations, futures clearing institutions, futures and securities investment consulting firms, and securities credit rating companies. Examine and approve qualified fund custodian institutions, regulate their custody businesses, formulate and implement measures concerning the qualifications of senior management for the relevant institutions, and guide the Securities and Futures Associations of China in the management of the qualifications the personnel engaged in futures and securities business.
- Oversee the issuance and listing of shares overseas by domestic companies as well as the listing of convertible bonds by the overseas listed companies, administer the establishment of futures and securities institutions overseas by domestic futures and securities businesses, and oversee the establishment of futures and securities institutions in China by overseas institutions for futures and securities companies.
- Supervise the communication of the futures and securities information, and supervise the management of the statistics and information resources for the futures and securities markets.
- Assist the relevant authorities in examining and approving the qualifications of the accounting firms, the asset evaluation companies and their personnel for futures and securities intermediary businesses, and oversee the legal companies, lawyers and eligible accounting firms, asset appraisal institutions and their personnel in their futures and securities business activities.
- Inspect and punish violations of the relevant futures and securities laws and regulations.
- Govern the futures and securities sector’s foreign exchanges and international cooperation affairs with the authority afforded as a capable organisation.
- Perform duties authorised by the State Council.
